Terms of Service & Investment Disclaimer | Effective July 2026

Introduction

The Pythia Scrolls is a premium investment intelligence service operated by Pythia Capital, LLC ("Pythia Capital," "we," "us"). By subscribing to The Pythia Scrolls, you agree to these Terms of Service.

The Pythia Scrolls delivers coherence-based investment research across eight sectors — Edge AI/Robotics, Regenerative Agriculture, Energy, Quantum, Health, Web3, Cybernetics, and Fringe — using the proprietary Living Systems Investing (LSI) framework developed by Lynn Marie DePippo.

Membership

The Pythia Scrolls is a single membership. All content, research, and community access is included. There are no tiers and no upgrade path.

Membership includes:

Pricing. Founding rate: $4,995 per year. List price: $9,990 per year. Founding-member terms are available during the founding period and are governed by the Founding Member Rates section below.

RESTRICTED: Membership is available only to Accredited Investors as defined under Rule 501 of Regulation D of the Securities Act of 1933, as amended, and to institutional investors qualifying as institutional accredited investors thereunder. Investment professionals may subscribe on behalf of a qualifying institution, and institutional subscribers must confirm the structural flexibility to invest outside traditional fund mandates.

The Codex

The Codex is Pythia Capital's experiential educational resource on Living Systems Investing principles — the coherence framework that makes everything else in The Pythia Scrolls make sense. Included in membership.

The Salons and Scroll Conversations

Membership includes the Phoenix Salon (public markets and crypto), the Hub & Spoke Salon (private opportunities and the Hub & Spoke architecture), and scroll conversation channels where members, Pythia Capital, and polymathic advisors discuss the research. These are unfiltered spaces for serious investors — not pitch competitions or social forums.

Identity and screen names. Registration requires your true legal identity. Members may participate in member-visible spaces under a screen name if they prefer.

Hub & Spoke Architecture

Hub & Spoke is a new architecture for how breakthrough companies are built and financed — designed around how nature organizes resilient, efficient systems. It is not a fund.

The Hub: Shared resources, expertise, and infrastructure that connected companies draw from — eliminating waste and improving probability of success across the portfolio.

The Spokes: Individual companies carefully selected for coherence with Living Systems principles, connected through the Hub rather than isolated from each other.

The Result: An alternative to the fund model — no fund layer, no carried interest, direct relationships with founders. This architecture is still being developed. Its structure, terms, and the nature of any Pythia Capital participation will be defined in specific written materials as it takes shape, and are not offered or promised through these Terms.

Where Pythia Capital does business relating to Hub companies, the nature of that relationship and any associated compensation will be disclosed in the relevant written materials. Pythia Capital does not act as a broker-dealer, placement agent, or investment adviser, and nothing in The Pythia Scrolls constitutes securities brokerage, deal placement, or investment management. Any investment relationship is formed directly between the investor and the company.

Pythia Capital Investment Activity

Pythia Capital may invest its own company profits in sectors and opportunities covered by The Pythia Scrolls. This is conducted for Pythia Capital's own account and does not constitute investment management on behalf of subscribers. Where Pythia Capital has a material financial interest in a covered topic, this will be disclosed.

Accredited Investor Requirement

MEMBERSHIP IS AVAILABLE ONLY TO ACCREDITED INVESTORS AND TO QUALIFYING INSTITUTIONAL ACCREDITED INVESTORS. By subscribing, you represent and warrant that you qualify under Rule 501 of Regulation D, which generally includes individuals with net worth exceeding $1,000,000 (excluding primary residence) or income exceeding $200,000 individually ($300,000 jointly) in each of the two most recent years, and entities meeting the applicable institutional thresholds.

An investment professional may subscribe on behalf of a qualifying institution, in which case the institution is the subscriber. Institutional subscribers must confirm structural flexibility to invest outside traditional fund mandates. Pythia Capital relies on your representation. Providing false information is a violation of these Terms.

Bespoke Coherence Consulting

Deeper, relationship-based coherence consulting is available to active members by arrangement, on a retainer basis, scoped to the specific situation. This is coherence analysis and advisory work, not investment advice, securities research in the regulated sense, or a recommendation to buy, sell, or hold any security. Bespoke engagements are governed by a separate written agreement. Availability is limited and at Pythia Capital's discretion.

Special Reports

Active members may commission bounded, collaborative deep dive reports on specific companies, sectors, or cross-scroll questions, produced with Pythia Capital's polymathic advisor network. These are optional, priced separately from membership, and available to active members only. Pricing is provided on request. Special reports are research and analysis, not investment advice or a recommendation to buy, sell, or hold any security.

Founding Member Rates and Grandfathering

Subscribers who join during the founding period are locked into their annual rate for as long as they maintain continuous active membership. This rate will never increase for existing subscribers in good standing. Rate changes apply only to new subscribers and to subscribers who cancel and later return.

Capability added to the membership during a founding member's continuous tenure is included at the founding rate.

A Living System: Service Evolution

The Pythia Scrolls is a living intelligence service that evolves in response to what works and what subscribers need. Pythia Capital reserves the right to restructure the membership, content, and pricing. Existing subscribers will receive 60 days advance notice of material changes and will always be offered the opportunity to transition or exit gracefully with no penalty.

Payment Terms

Memberships are billed annually via Stripe. Monthly billing may be offered in the future; during the founding period, memberships are annual. Pythia Capital never stores your full payment card details. Direct Stripe invoicing available for special arrangements.

Cancellation

You may cancel at any time through a simple one-step cancellation process via your subscriber portal — no email or explanation required. Cancellation takes effect at the end of the current subscription period. No refunds for partial periods.

All Pythia Scrolls content — including the Codex, coherence screens, sector analyses, LSI methodology, research reports, Salon discussions, and Hub opportunity briefings — is the proprietary intellectual property of Pythia Capital, LLC. Subscribers receive a personal, non-transferable license for their own investment research only. You may NOT reproduce, redistribute, share with non-subscribers, create competing products, or use content for commercial purposes without written permission.

Pythia Capital™ and its marks may not be used without permission. Violations result in immediate termination and may result in legal action.

Copyright Infringement — DMCA Notice

To submit a notice of claimed copyright infringement under the DMCA (17 U.S.C. Section 512(c)(2)), send written communication including: (1) signature of the copyright owner or authorized agent; (2) identification of the copyrighted work; (3) identification of the infringing material; (4) your contact information; (5) a good-faith belief statement; and (6) a statement under penalty of perjury of your authorization to act.

Indemnity and Release

You hereby indemnify, defend, and hold Pythia Capital, LLC, its officers, directors, employees, contractors, and agents harmless from and against any claims arising out of any breach by you of these Terms, including reasonable attorneys' fees.

If you have a dispute involving The Pythia Scrolls with a third party, you release each Released Party from all claims arising out of or connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PYTHIA CAPITAL SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, MISSED OPPORTUNITIES, OR OTHER DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON PYTHIA SCROLLS CONTENT. YOUR USE IS ENTIRELY AT YOUR OWN RISK. In no event shall Pythia Capital's aggregate liability exceed the subscription fees paid in the twelve months preceding any claim.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Massachusetts. Jurisdiction for any claims shall lie exclusively with the state or federal courts in Boston, Massachusetts. If you access the service from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

Acknowledgment

By subscribing to The Pythia Scrolls, you acknowledge that you have read, understood, and agree to these Terms of Service and Investment Disclaimer, and you certify that you qualify as an Accredited Investor or institutional accredited investor and have the structural flexibility to participate in direct investments outside traditional fund structures.
